These Terms of Service ("Terms") govern your use of joinonsider.com and of the coaching services provided by Onsider Group LLC ("Onsider," "we," "us," "our").

By purchasing a membership, creating an account, or using our website, you agree to these Terms. If you do not agree, do not use the service.

1. Definitions

"Client" means the individual who receives coaching.

"Account holder" means the person who purchases and holds the membership, referred to in other Onsider materials as the sponsor. For a client under 18, the account holder must be a parent or legal guardian. A client aged 18 or over may be the account holder.

"Coach" means an independent contractor engaged by Onsider to deliver coaching.

"Session" means a scheduled video coaching session between a coach and a client.

"Membership Agreement" means the separate agreement executed by the account holder covering scope of service, consent, and safety acknowledgments.

All references to a month mean a calendar month. All memberships bill on the first day of the month, as set out in Section 7.

2. Eligibility and responsibility

2.1 Age

Onsider provides coaching to clients aged 13 and over. We do not provide services to anyone under 13.

2.2 Who may purchase

For a client under 18, only a parent or legal guardian may purchase a membership and act as account holder. By purchasing, you represent that you are the client's parent or legal guardian and that you have authority to consent to the client's participation.

2.3 Account holder obligations

The account holder is responsible for the accuracy of the information provided, for all charges incurred under the membership, and for ensuring the client is aware of and complies with these Terms. Where a client under 18 breaches these Terms, the account holder is responsible for that breach.

2.4 Clients aged 18 and over

A client aged 18 or over is an adult and may hold the membership directly.

Where an adult client's membership is paid for by a parent or another person, that person is entitled to billing and attendance information only. We will not provide the progress report under Section 3.4, the monthly call under Section 3.5, or any account of the substance of sessions without the client's written consent. The client may withdraw consent at any time, with effect from the date of withdrawal.

3. What your membership includes

Prices are in United States dollars and exclude any sales tax, GST, HST, or other tax, which is added at checkout where required.

3.2 Inclusions

Every membership includes:

  • the stated number of sessions each month;

  • text support with the assigned coach (Section 3.3);

  • a written monthly progress report (Section 3.4);

  • a monthly call between the coach and the account holder (Section 3.5); and

  • coach matching and one rematch (Section 5).

3.3 Text support

Between sessions, a client may text their assigned coach through a telephone number operated by Onsider. Onsider personnel responsible for coach practice and safeguarding can view this channel. Coaches respond during stated availability hours. The channel is not monitored continuously and is not an emergency or crisis service.

3.4 Monthly progress report

Each month, the assigned coach sends the account holder a written report by email summarizing the focus of recent sessions and areas of ongoing work. The report is a summary prepared for continuity and communication. It is not an assessment, evaluation, or diagnosis, and it does not reproduce the content of sessions.

The client is told at the outset that these reports are sent.

3.5 Monthly call with the account holder

Each month, the account holder may schedule one call with the assigned coach to discuss progress. Calls are scheduled through the tools we provide and are subject to coach availability. A call not taken in the month it is available does not carry over.

3.6 Session allocation

Sessions are allocated monthly and expire at the end of the month in which they are allocated. Unused sessions do not accumulate or convert to a refund. Section 7.1 governs allocation in a partial first month.

Two exceptions apply.

Where Onsider or the coach is the cause. If a session cannot take place because the coach is unavailable, including for leave, illness, or reassignment, Section 6.4 applies. This is not discretionary.

Where circumstances warrant. Onsider may credit an unused session to the following month in exceptional circumstances such as client illness or a family emergency. Requests go to hello@joinonsider.com. Coaches do not decide whether a session carries over.

3.7 Changes to the service

We may modify, add to, or discontinue features of the service. Where a change materially reduces what your membership includes, we will give at least 30 days notice, and you may cancel under Section 8 without further charge.

4. What Onsider does not provide

Onsider provides coaching. Coaching is not therapy, counselling, or medical, psychological, psychiatric, or crisis care.

Onsider does not diagnose, treat, or manage any medical or mental health condition. Coaches are not licensed therapists, counsellors, psychologists, physicians, or social workers, and do not act in any such capacity when delivering Onsider coaching, whatever qualifications a coach may hold in another context.

Onsider is not an emergency service. In an emergency, contact your local emergency number, or the 988 Suicide and Crisis Lifeline in the United States or Canada.

No outcome is guaranteed. We make no representation or warranty as to academic performance, admissions results, career outcomes, behaviour, wellbeing, or any other result. Outcomes depend on factors outside our control, including the client's engagement.

The account holder is responsible for obtaining medical, psychological, or other professional care where the client needs it. Coaching is not a substitute for that care and must not delay it.

5. Coach assignment and rematch

5.1 Assignment

Onsider assigns coaches based on client needs, coach availability, and fit. We do not guarantee assignment to, or continued availability of, any particular coach.

5.2 Reassignment by Onsider

We may reassign a coach at any time, including on short notice, for operational, capacity, or practice reasons. We will notify the account holder and assign a replacement as promptly as reasonably practicable.

5.3 Rematch requested by you

An account holder may request one coach rematch during the membership without giving a reason. Further requests are accommodated at our discretion and subject to coach availability.

6. Scheduling and missed sessions

6.1 Scheduling

Sessions are booked through the tools we provide, subject to coach availability.

6.2 Rescheduling

A session may be rescheduled at no cost with at least 24 hours notice before its scheduled start time.

6.3 Late cancellation and non-attendance

A session cancelled with less than 24 hours notice, or which the client does not attend, is forfeited and counts against the monthly allocation. A client who joins late is not entitled to an extension.

6.4 Cancellation by Onsider

If a coach cancels a session, we will reschedule it within the same month where reasonably practicable, or credit it to the following month.

7. Fees, billing, and automatic renewal

7.1 Billing date and first payment

All memberships bill on the first day of each month.

If your membership begins on a day other than the first, your first payment is prorated for the remaining days of that month, and your first full payment falls on the first day of the following month. Sessions in a partial first month are allocated in proportion to the days remaining, rounded down, with a minimum of one session.

If your membership begins in the final seven days of a month, your first payment is the full membership fee. It covers the remainder of that month together with the whole of the following month, and carries the full monthly session allocation for that combined period. Your first renewal falls on the first day of the month after that.

7.2 Automatic renewal

Your membership renews automatically each month until you cancel. We will charge the then-current fee to the payment method on file on the first day of each month until you cancel under Section 8.

7.3 Payment

Payments are processed by Stripe. By providing a payment method, you authorize us to charge it for all fees due. You are responsible for keeping payment details current.

7.4 Failed payment

If a payment fails, we will notify the account holder and attempt collection for up to seven days. Sessions may be suspended after seven days and the membership terminated under Section 11.1 after fourteen. Access resumes on payment.

7.5 Price changes

We may change prices on at least 30 days notice. A change takes effect at your next renewal. If you do not accept it, you may cancel under Section 8 before it applies.

8. Cancellation

You may cancel at any time by emailing hello@joinonsider.com or through any cancellation method we provide.

Cancellation takes effect at the end of the month in which you cancel. You keep access to sessions and text support until then and are not charged again. We require no advance notice and charge no cancellation fee.

Cancellation does not entitle you to a refund of the current or any earlier period, except under Section 9.

9. Refunds

9.1 First month guarantee

If you cancel within 30 days of the client's first session, we will refund every amount you have paid, provided you have first requested and completed a coach rematch under Section 5.3. The rematch exists so that a poor fit with an individual coach can be resolved before you decide about the service itself.

Email hello@joinonsider.com within the 30 day period. Refunds are issued to the original payment method within 10 business days.

9.2 All other periods

Beyond the first month guarantee, fees are not refundable. This includes months in which sessions went unused and the month in which you cancel.

9.3 Termination for scope

Where we terminate under Section 11.2, we refund the unused portion of the current month on a pro rata basis.

10. Membership pause

An account holder may pause a membership for up to two consecutive months, once per calendar year.

During a pause we charge no fee, allocate no sessions, and text support is unavailable. We hold the assigned coach for the first month of a pause. Beyond one month we will use reasonable efforts to return the client to the same coach but cannot guarantee it, and Section 5 applies.

Request a pause at least seven days before the first of the month in which it is to begin. The membership resumes automatically at the end of the pause at the then-current price.

11. Suspension and termination by Onsider

11.1 For cause

We may suspend or terminate a membership immediately, without refund, where:

  • payment fails and remains outstanding as described in Section 7.4;

  • the client or account holder is abusive, threatening, harassing, or discriminatory toward a coach or Onsider personnel;

  • the text support channel is misused, including for harassment or for contact outside its intended purpose;

  • the client or account holder engages a coach outside Onsider in breach of Section 12.4;

  • these Terms or the Membership Agreement are breached in any other material respect; or

  • continued service would, in our reasonable judgment, create a risk to the client, a coach, or another person.

11.2 For scope

We may terminate a membership where, in our reasonable judgment, the client's needs exceed the scope of coaching and are better met by clinical or other professional support. We will explain our reasons, help identify appropriate resources where we can, and refund the unused portion of the current month.

11.3 For convenience

We may terminate on 30 days notice for any other reason, refunding the unused portion of the current month.

12. Acceptable use

12.1 General

You agree to use the service lawfully and not to harass, threaten, defame, or harm any person through it.

12.2 Website

You may not attempt to gain unauthorized access to our systems, interfere with the website, scrape content, or access the service by automated means.

12.3 Text support

The text support channel is for communication between a client and their assigned coach about coaching. It may not be used for emergencies, for contact with anyone other than the assigned coach, or for any unlawful purpose.

12.4 No direct engagement of coaches

Coaches are engaged by Onsider. During your membership and for 12 months afterwards, you agree not to engage, or attempt to engage, a coach introduced to you by Onsider to provide coaching or similar services outside Onsider.

13. Recording

13.1 By clients and account holders

You may not record, film, transcribe, screenshot, or otherwise capture any session or any communication with a coach, in whole or in part, without our prior written consent, and you may not share or publish any such capture.

13.2 By Onsider

Onsider does not record or transcribe sessions and applies no automated note-taking, meeting-summary, or transcription tool to them. Coaches keep written notes for continuity of coaching.

13.3 Third parties

Sessions are between the client and the coach. No other person may attend or observe a session without our agreement and the client's knowledge.

14. Safety and escalation

Coaches are trained to escalate rather than manage serious situations alone.

We may contact a parent or legal guardian, emergency services, or the appropriate authorities where we reasonably believe a client is at risk of serious harm to themselves, a client presents a risk of serious harm to another person, a client under 18 is being abused, neglected, or exploited, or disclosure is required by law or by a mandatory reporting obligation.

Consent is not required for a disclosure under this Section, and nothing in these Terms limits our ability to act under it. Our Privacy Policy sets out how we handle the information involved.

15. Intellectual property

15.1 Our property

The Onsider coaching methodology, frameworks, exercises, worksheets, written materials, website, trademarks, and branding are owned by Onsider or licensed to us and are protected by intellectual property law.

15.2 Your licence

We grant the client and account holder a limited, personal, non-exclusive, non-transferable, revocable licence to use materials provided through the service for the client's own use during the membership. You may not copy, distribute, publish, sell, sublicense, or adapt them, or use them to develop or deliver a competing service.

15.3 Feedback

If you give us suggestions or feedback about the service, we may use them without restriction and without obligation to you.

16. Privacy

Our collection and use of personal information is governed by our Privacy Policy, available at joinonsider.com, which forms part of these Terms.

17. Disclaimers

To the fullest extent permitted by law, the service is provided on an "as is" and "as available" basis, and we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be uninterrupted or error free, or that any particular coach will be available.

Nothing in this Section excludes a warranty or right that cannot be excluded under applicable law.

18. Limitation of liability

To the fullest extent permitted by law:

18.1 Neither Onsider nor its officers, members, employees, or contractors is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, or goodwill, arising out of or relating to the service, however caused and on any theory of liability.

18.2 Our total aggregate liability arising out of or relating to the service is limited to the membership fees paid to Onsider in the 12 months preceding the event giving rise to the claim.

18.3 These limits do not apply to liability for gross negligence, willful misconduct, fraud, death or personal injury caused by negligence, or any other liability that cannot be limited under applicable law.

18.4 These limits apply even if a limited remedy fails of its essential purpose, and survive termination.

19. Indemnification

The account holder will indemnify Onsider and its officers, members, employees, and contractors against any claim, loss, liability, or expense, including reasonable legal fees, arising out of:

  • breach of these Terms by the account holder or client;

  • misuse of the website or the text support channel;

  • material misrepresentation in information given to Onsider, including as to the client's age, health, or circumstances; or

  • failure to hold the authority represented under Section 2.2.

This Section does not require you to indemnify us against our own negligence or misconduct.

20. Dispute resolution and arbitration

This Section affects your legal rights. Read it before agreeing.

20.1 Informal resolution first

Before starting arbitration, you agree to contact us at hello@joinonsider.com and attempt to resolve the dispute informally for 30 days.

20.2 Binding arbitration

Any dispute arising out of or relating to these Terms or the service that is not resolved informally will be settled by binding arbitration before a single arbitrator, administered by the American Arbitration Association under its Consumer Arbitration Rules. Judgment on the award may be entered in any court of competent jurisdiction.

20.3 Individual basis only

You and Onsider each waive the right to bring or take part in any class, collective, consolidated, or representative action. The arbitrator may not consolidate claims or preside over any representative proceeding.

20.4 Small claims

Either party may instead bring an individual claim in small claims court if it qualifies.

20.5 Opting out

You may opt out of this Section by emailing hello@joinonsider.com within 30 days of first accepting these Terms, giving your name and stating that you opt out. Opting out affects no other provision.

20.6 Severability

If Section 20.3 is held unenforceable, the whole of Section 20 is void and disputes will be resolved in the courts identified in Section 21.

21. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. Subject to Section 20, the state and federal courts of Sheridan County, Wyoming have exclusive jurisdiction.

Nothing in this Section deprives a consumer of the protection of mandatory provisions of the law of their place of residence.

22. Changes to these Terms

We may update these Terms. The date of the most recent revision appears at the top of this page.

Where a change materially affects your rights or obligations, we will give account holders at least 30 days notice by email before it takes effect. Continued use after that date is acceptance. If you do not accept a change, you may cancel under Section 8.

23. General

Entire agreement and precedence. These Terms, the Privacy Policy, and the Membership Agreement are the entire agreement between you and Onsider regarding the service. Where they conflict, the Membership Agreement governs scope, consent, and safety, and these Terms govern commercial matters.

Assignment. You may not assign or transfer your membership. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Severability. If a provision is held unenforceable, the rest continues in full effect.

No waiver. Failure to enforce a provision is not a waiver of it.

Notices. We may give notice by email to the address on your account. You may give notice to hello@joinonsider.com.

Force majeure. Neither party is liable for failure to perform due to causes beyond its reasonable control.

Independent contractors. Coaches are independent contractors and not employees of Onsider. Nothing in these Terms creates a partnership, joint venture, or employment relationship.

Survival. Sections 13, 15, 17, 18, 19, 20, 21, and 23 survive termination.
